There seem to be an abundance of headlines critical of executive compensation packages. This program will focus on internal counsel's role in managing executives and the Board as they address these and other challenges related to executive compensation. We will address "say on pay," the use of independent consultants, severance packages, perquisites and other issues that you need to know about in your discussions with senior management and the Board. We will examine these issues from the perspective of both public companies and non-profits. Also, with the proxy season coming to a close, we will discuss recent developments, including, the "hot button" items that the investors and the SEC are looking for and helpful hints in preparing for next year's filings.  Free of charge.  1.5 hours of Virginia Bar MCLE credit, pending.  The program will be presented at the Tysons Corner Marriott, 8028 Leesburg Pike, Vienna, VA (703-734-3200).  To register, click here.

WMACCA IT/IP Forum: Mitigating Outsourcing Costs - Handling Disagreements and Disputes, presented by Bruce F. Metge of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo PC, and Michael C. Bisignano, VP and General Counsel of Online Resources Corporation, on Wednesday, May 14, from 12 noon to 2 p.m., at Maggiano's Little Italy in McLean, VA.

Just as outsourcing has allowed your company to grow while you are focusing on core competencies, a dispute could stop you in your tracks, or cause enough havoc to upset your bottom line. These disputes may hit regulatory, privacy, intellectual property protection, labor and employment agreements, and may also impact your company's reputation with its clients. Who is responsible if your provider is having credit issues? How do regulatory changes impact your contracts? This session is geared to any counsel involved in any type of sourcing agreement. By the end of this session, attendees will learn how to anticipate problems in relationships and be able to take proactive steps to help minimize bottom line impacts.  Free of charge - lunch will be provided.  The program will be presented at Maggiano's Little Italy (private room upstairs), 2001 International Drive, McLean, VA (703-356-9000).  1.0 Virginia Bar MCLE credit, pending.  To register, click here.

Hammond and Robert Nichols of Crowell & Moring LLP, on Wednesday, May 21, from 12 noon to 2 p.m., at Maggiano's Little Italy in McLean, VA.

Purchasing goods and services from foreign subcontractors raises special concerns. Many foreign companies have no familiarity with the often-confusing U.S. government contracting system, making it difficult to reach a meeting of the minds on government-mandated contract terms and conditions. Federal procurement law contains a dizzying array of source restrictions - from the Buy American Act and Trade Agreements Act to specialty metals. This program will include tips for negotiating a sound contract with foreign subcontractors and for navigating the waters of origin restrictions. Fee: $35 per person - lunch will be provided.  The program will be presented at Maggiano's Little Italy (private room upstairs), 2001 International Drive, McLean, VA (703-356-9000).  1.5 hours Virginia Bar MCLE credit, pending.  To register, click here.

In-house counsel for associations and nonprofit organizations are required to review all kinds of contracts, and often on an "ASAP" basis. Using sample contracts, this program will show you how to focus on the key elements when you are under the gun, and will demonstrate how to understand the unique features of typical contracts entered into by nonprofit organizations. Free of charge - a light lunch will be provided.  The program will be held LIVE at the offices of Pillsbury Winthrop Shaw Pittman LLP, 2300 N Street NW (main floor), Washington, D.C. Not Just A Scrivener: The Role of the Corporate Secretary in Governance Today, presented by Michael Beverly of LandAmerica Financial Group; Luther "Luke" Kissam of Albemarle Corporation, Mollie Roy of Freddie Mac, and Dave Meyers of Troutman Sanders LLP, and moderated by George Massih of Corporation Service Company, on Thursday, May 22, from 5 to 8 p.m. (see schedule details in description, below), at the offices of Troutman Sanders LLP in Richmond, VA, and by Web seminar technology.
A reprise of the very successful program we held in February:  In the post-SOX world, the Corporate Secretary of an organization is more important than ever, with responsibility for helping to ensure that the management team and the Board prudently exercise their fiduciary duties in managing the affairs of the organization. Corporate Secretaries are often at the center of the most important issues confronting the organization and may also be privy to its most difficult challenges. It is therefore critically important that an organization's directors, management, and employees in the office of Corporate Secretary clearly understand the role and functions of the Secretary and have good procedures in place.  Whether you are a director, a corporate secretary, General Counsel, or otherwise interested in good governance, our panelists will offer multiple perspectives (from large public companies, a large private company, and a non-profit organization) on the important roles that the Corporate Secretary plays in the boardroom. For directors, these perspectives may suggest alternatives that would be beneficial to your companies and boards about how to most effectively use your corporate secretary. For those in the office of the Corporate Secretary, we will provide an essential "101" on this important role, and many good resource materials to help you do the job better. We also will discuss the very significant issue of how the Corporate Secretary and the Legal Department should interact - and what the implications are when in-house lawyers do double-duty as Corporate Secretary.  Members of the Society of Corporate Secretaries & Governance Professionals are invited to join us. SCHEDULE:  Registration/arrival - 5 to 5:30 p.m.;  Program - 5:30 to 7 p.m., Informal networking reception (on-site) - 7 to 8 p.m.  Free of charge.  1.5 hours of Virginia Bar MCLE credit, pending.  The program will be held at the offices of Troutman Sanders LLP, 1001 Haxall Point, Richmond, VA (804-697-1200) and will be available by Web seminar technology. Navigating Employment Law in a Softening Economy, presented by Ira M. Shepard, Paul M. Heylman and Anessa Abrams of Saul Ewing LLP, on Thursday, May 29, from 8 to 9:30 a.m., at the Tysons Corner Marriott, Vienna, VA.

When the economy sours, employment law claims surge. As we weather these recessionary times, what employment law issues does your organization need to keep in mind? In general, employment lawyers find that, when the economy goes bad, employees who are subjected to adverse employment actions (discipline, poor performance reviews, or dismissal) are more likely to claim that there is a discriminatory reason behind the actions. This program will discuss the warning signs to stay aware of, and management techniques and proactive steps that you can take to navigate potential hazards. If your organization is contemplating layoffs, you will need to consider the potential for age discrimination claims. The proliferation of aging baby boomers makes age discrimination cases and the likelihood of class or collective ADEA cases a very real concern. Gender claims are also a significant contingency and will likely increase in the wake of an economic downturn. This program will provide practical guidance on meeting these challenges as well.  Free of charge - a light breakfast will be provided.  The program will be presented at the Tysons Corner Marriott, 8028 Leesburg Pike, Vienna, Virginia (703-734-3200) 1.5 hours Virginia Bar MCLE credit, pending.  To register, click here.
