Recent Delaware decisions illustrate how conflicts of interest and inadequate process can lead to meaningful and very public second-guessing of board conduct and deal outcomes. We will discuss how the general counsel, in managing the board process, can reduce these risks without impairing the effectiveness of the strategic effort to realize value or precluding the viability of the private equity alternative. In particular, we will address whether the post-signing market check is viable for private equity transactions, whether and when a special board committee is required, the key process points in transaction evaluation and how best to build a record for an effective board process that can withstand judicial challenge and reduce settlement cost in shareholder actions. |
