Message From Laura Dorman, Financial Services Committee Chair

Welcome to the inaugural issue of the Financial Services Committee’s (FSC) quarterly newsletter!  On behalf of the other members of the FSC leadership team, we want to thank you for being a part of the FSC, and we look forward to engaging with you in the coming year.  As always, our goal is to provide the best resources, educational programs and networking opportunities to our committee members.  This year, one of our objectives is to increase the overall active participation of our members by providing events and materials that are valuable to you.  As you will see below, there are many exciting ways to participate, from our sponsored programs at the ACC Annual Meeting to our monthly meetings featuring Quick Hits to our regional Micro-Networking events.  These programs are designed to provide you with the most relevant, up-to-date information to assist your in-house practice.  We welcome any comments or suggestions from our members, and we encourage you to contact us at fs@acc.com.

Annual Meeting

The ACC Annual Meeting will take place October 18-21, 2015 at the Hynes Convention Center in Boston, Massachusetts.  The FSC is proud to sponsor the following programs:

407: Explanation, Regulation and Litigation of Virtual Currencies

Virtual currency is growing in use and recognition.  Major entities, such as Microsoft, are beginning to recognize and accept Bitcoin payments, but most in-house counsel have little familiarity with virtual currency.  Learn what it is, how it functions, how it may impact your clients and what domestic and international regulatory and enforcement regimes and issues – including enforcement actions and criminal prosecutions – have arisen from the evolving world of virtual currency.  We will explain and explore the answers to these questions and demonstrate a Bitcoin transaction.

1007: A View from the Hot Seat: Data Breaches and What to Do Now to Make it Easier When It Happens to You

When a significant data breach happens, first responders face significant challenges under extreme pressure.  This panel will provide an overview of the current environment in which data breaches are addressed in litigation and regulatory investigations.  The panelists will walk you through what happens behind the scenes when a potential breach is identified, investigated and notified and the ensuing regulatory investigations and class action litigation proceedings.  Having provided a real-world perspective, the panel will then discuss effective ways to prepare now, so that your company is ready to handle a breach situation well.  Panelists will provide concrete examples of measures taken in advance of a breach that make a difference when it happens, including evaluating exposures, reserving and insurance to protect the bottom line; managing vendors and coordinating with others when sensitive data is shared and effective ways to keep your board informed about cybersecurity.

The SEC's Disclosure Effectiveness Initiative is an undertaking required by the JOBS Act to update disclosure requirements to remove redundancy and reduce the cost burden on public companies. In particular, this initiative entails changes to the financial statement requirements under Regulation S-X as well as the elimination of duplicative disclosures under Regulation S-K.

Networking Events

FSC members in San Francisco enjoyed a festive networking event graciously hosted at the offices of Greenburg Traurig LLP. Members of the firm joined 7 ACC members in a lively impromptu discussion of balancing the roles of legal and compliance and the Peer-to-Peer lending platform. The third networking mixer in San Francisco continues to gain traction and we look forward to another event in the Spring. Keep your eye out for details soon!
